Terms and Conditions of Sale
Wholesale terms for business buyers: quotations, payment, delivery on EXW terms, warranty and limitation of liability.
Last updated: 30 October 2026
Scope - business customers only
These terms govern quotations, orders and sales made by DEPU Faucets to business buyers: importers, wholesalers, distributors, retailers, contractors and project purchasers acting in the course of their trade.
We do not sell to consumers. Because every order we accept is a business-to-business transaction, the consumer protection rules that apply to distance selling to private individuals - including the European right of withdrawal under Directive 2011/83/EU - do not apply. By placing an order you confirm that you are acting as a business.
Enquiries and quotations
Unit prices shown on this website are indicative and are intended to give a budget figure. They are not an offer capable of acceptance. A quotation issued to you in writing states the binding price, specification, quantity, packing, Incoterm and validity period.
Unless stated otherwise, quotations are valid for 30 days from the date of issue and are subject to the goods being unsold. Prices exclude packing beyond our standard export packing, freight, insurance, duties, import taxes and VAT unless we say so in writing.
Order confirmation
An order becomes binding only when we issue an order confirmation or proforma invoice and receive any deposit due. Any specification we received after that point requires our written agreement and may affect price and lead time.
Please check every confirmation immediately: model numbers, finishes, SKUs, quantities, packing and markings. Tell us at once if anything does not match your intention - corrections are far cheaper before production starts.
Payment
Unless stated differently in the quotation, our standard terms are payment by bank transfer (T/T): a deposit to release the order into production and the balance before shipment. Bank charges on our side are ours; correspondent and receiving bank charges are yours.
Optional accessories, spare parts and samples delivered separately may be invoiced together with the main shipment or separately, as agreed.
Production and lead times
Lead times are stated in the quotation and start running from the later of two dates: receipt of the deposit and written approval of all specification details, artwork or samples that the order requires.
Lead times are working estimates, not guaranteed delivery dates. If production is delayed for a reason on our side by more than a reasonable margin, we will tell you promptly and agree new dates with you. Delays do not entitle you to cancel the order or claim compensation except as set out under liability below.
Delivery, risk and title
Unless agreed otherwise in writing, deliveries are made EXW (Incoterms 2020) from our facility. Risk passes to you when the goods are placed at your disposal for collection. From that moment, transport risk - including loss, theft, damage and delay - is yours, and we recommend insuring the shipment.
If we arrange carriage on your behalf, we do so as your agent and not as the carrier.
Title does not pass until we have received payment in full. Until then you hold the goods as our property, separately identifiable and - where lawful - with our markings intact. We may require their return or take other steps available to an unpaid seller if payment is not made.
Inspection on arrival
Check goods on arrival and report any problem within the deadlines set out in our Returns and Claims policy. Shortages, wrong items and visible transport damage must be recorded on the delivery document at the time of delivery and reported to us with supporting evidence.
Acceptance is deemed to have taken place once the relevant deadline has passed without a written claim, except for defects that could not reasonably have been discovered by inspection at that time.
Warranty
We warrant that the goods conform to the specification confirmed in writing and are free from defects in material and workmanship for the warranty period stated on your quotation or order confirmation, counted from the date of shipment.
Our obligation under this warranty is limited, at our choice, to repair, supply of replacement parts, replacement of the defective unit, or a credit note for the value of the affected goods. Replacement units normally travel with your next order unless you ask us to ship them separately at your cost.
The warranty does not apply to the exclusions listed in our Returns and Claims policy.
Limitation of liability
Our total liability arising out of or in connection with any order, whether in contract, tort or otherwise, is limited to the invoiced value of the goods giving rise to the claim.
We are not liable for indirect or consequential losses, including loss of profit, loss of sales, loss of contract, loss of goodwill, penalties owed by you to your own customers, or duties and taxes arising from a failed delivery.
In particular, we do not cover the cost of removing, reinstalling or repairing installed faucets, nor damage to flooring, cabinetry, walls or other property caused by leaking, by over-tightened connections, by unsuitable water pressure or by installation that does not follow generally accepted plumbing practice. Faucets must be installed by qualified persons and checked for leaks before the installation is closed up.
Nothing here limits liability that cannot be limited under applicable law, including liability for fraud, or for death or personal injury caused by negligence.
OEM, markings and artwork you supply
Where we produce to your specification - private label packaging, custom finishes, laser marking, printed inserts - you confirm that you own the rights to the artwork, trade marks and brand names supplied, that using them does not infringe anyone else's rights, and that you will indemnify us against any claim arising from that use.
Goods made to your specification, including OEM and private label orders, are not returnable for reasons other than a defect in material or workmanship.
Force majeure
Neither party is liable for a failure to perform caused by an event beyond its reasonable control, including natural disaster, fire, flood, epidemic, war, terrorism, civil unrest, strike, lockout, government action, embargo, customs hold, shortage of raw materials or fuel, power failure, transport disruption or supplier failure.
The affected party must notify the other without delay and take reasonable steps to resume performance. If the event continues for more than 60 days, either party may cancel the affected part of the order by written notice; amounts already paid for goods not delivered will be refunded or credited.
Governing law and disputes
These terms and any dispute arising out of them are governed by the laws of the People's Republic of China.
The parties will first try to resolve any dispute amicably by negotiation between authorised representatives within 30 days of written notice. If that fails, the dispute will be finally settled by arbitration in China in the English language, in accordance with the rules in force at the time the claim is filed. The award is final and binding on both parties.
Each party bears its own legal costs unless the tribunal decides otherwise.
General
If any provision is held invalid or unenforceable, the rest remains in force. Failure to enforce a provision immediately does not waive it. These terms together with the order confirmation set out the entire agreement between the parties and replace all prior discussions on the subject, unless we have signed a separate written agreement with you.
We may update these terms from time to time. The version published on this website applies to orders confirmed after the revision date shown above.
